In accordance with the Company Law,the Securities Law,the Accounting Law,the Tendering and Bidding Law of the People's Republic of China(Presidential Decree No.No.21),"Administrative Measures for the Selection of Accounting Firms by State-owned Enterprises and Listed Companies"(Accounting〔2023>>〕4No.),the Shanghai Stock Exchange stock listing rules,the company's"Articles of Association"and internal control system provisions,in order to do a good job.2024Annual financial statements and internal control audit body selection work.,the selection of accounting firms that meet the prescribed conditions,The relevant matters of this selection are hereby publicized as follows:

1.accounting firm service content

(I)Audit of the financial statements for the year 2024

1,In accordance with the"China Certified Public Accountants Law","China Certified Public Accountants Auditing Standards"and other relevant provisions to carry out the audit work,in accordance with the agreed time to complete the audit work;

2,The consolidated financial statements of Shaanxi Wright Optoelectronic Materials Co.,Ltd.were issued at the agreed time.(including financial statements of subsidiaries within the scope of consolidation)Special audit report on the summary of audit reports,non-operating fund occupancy and other related fund transactions.Report on the Use of Raised Fundsand other relevant reports required by the Shanghai Stock Exchange's stock listing rules.

(II)2024 Internal Control Audit

1,The audit work is carried out in accordance with the Guidelines for the Audit of Internal Control of Enterprises and the relevant Chinese Standards for the Practice of Certified Public Accountants and other relevant provisions,and the audit work is completed in accordance with the agreed time.;

Conditions and qualification requirements of 2.accounting firms

1,The accounting firm must be an accounting firm legally registered and established within the territory of China,be able to independently bear civil liabilities,have a valid business license or supporting documents with equivalent legal effect,have a valid accounting firm practice license,and have the Ministry of Finance and China Securities and Futures-related business qualification certificates or filing documents approved by the CSRC.

2,Accounting firms and their project personnel do not violate the independence requirements of the Code of Professional Ethics for Certified Public Accountants in China.Project partners,signed certified public accountants and quality control reviewers have not been subject to criminal penalties for their practice in the past three years.Administrative penalties,supervision and management measures by the China Securities Regulatory Commission and its dispatched agencies,industry authorities,etc.,and self-regulatory measures and disciplinary sanctions by self-regulatory organizations such as stock exchanges and industry associations.A letter of commitment and official seal must be provided.

3,In line with the Administrative Measures for the Selection of Accounting Firms by State-owned Enterprises and Listed Companies(Accounting〔2023〕4No.)other provisions.

5,By“China Judgment Document Network”The website inquires about the accounting firm and its legal representative,the person in charge of the proposed project,and if they have a criminal record of bribery,they shall be restricted from participating in bidding activities.The limited period shall be one year(the unit crime shall be from the date of entry into force of the judgment or ruling of the people's court).

3.Selection Method

In accordance with the relevant provisions of Article 6 of the"Administrative Measures for the Selection of Accounting Firms by State-owned Enterprises and Listed Companies",the selection is conducted through public bidding.

IV.Evaluation elements and methods

The company considers bidding accounting firms based on quality-oriented evaluation criteria,with the following evaluation elements and weights:

（1)Quality management level,weight40%;

（2)Audit fee quotation,weight.15%;

（3)Manpower and other equipment,weight10%;

（4)Work programme,weight10%;

（5)Risk-taking capacity level,weight10%;

（6)Qualification conditions and practice records,weight10%;

（7)information security management,weight 5%.

5.Bidding Requirements

1The materials to be submitted shall include:

（1)Participation in TenderUnit profile,including the name of the accounting firm,date of establishment,form of organization,registered address,lead partner,customer service,etc;

（2)ID card of the executive partner,power of attorney and ID card of the authorized person;

（3)ParticipationTenderThe qualification certification materials of the unit,including business license,practice certificate of accounting firm,record certificate of accounting firm engaged in securities service business,and the latest comprehensive evaluation ranking of CPA accounting firm,etc;

（42)Quality management level certification materials,such as quality standard management specifications,internal quality control implementation plan,quality control system,quality control system,etc;

（5)Human resources,including but not limited to the current number of partners,the number of certified public accountants,the number of certified public accountants who have signed the audit report of securities service business,the number and composition of team members to be equipped for this project;Separately provide the time for project partners,signed certified public accountants and project quality control reviewers to obtain the qualification of certified public accountants,the time for starting to engage in the audit business of listed companies,and the time for practicing in participating companies,signing or reviewing the audit reports and integrity of listed companies in the last three years;

（6)Quotation,indicating the amount of audit service fee(including tax);

（7)ParticipationTenderThe specific project plan,including but not limited to the implementation objectives,scope,key matters,important risk assessment,plan,procedure,time and method,resource input,etc.of the annual audit;

（8)Proof of the level of risk-bearing ability,such as practice quality assurance measures,occupational risk funds accrued,cumulative compensation limits of occupational insurance purchased,and civil liability in civil litigation related to practice in the last three years;

（9)ParticipationTenderThe performance certification materials of the unit,including the total income of the last year,the number of audit clients of the listed company in the previous year,the performance certification(list and contract)of the industry and similar projects completed in the last three years,etc;

（10)Proof of historical practice records,including the integrity records of the last three years.If there is no major violation of laws or regulations or administrative punishment,a statement that there is no major violation of laws or regulations in the last three years and no administrative punishment for the quality of practice shall be provided;

（111)Information security construction,such as information security management system,input of software and hardware facilities for data security management,etc.
